1.      Human Rights

As declared in the Universal Declaration of Human Rights;

2.Harassment-Violence and Harsh Treatment

All Karin Gıda employees work in a safe, physically and psychologically comfortable environment and in case of any complaint about any person regarding these issues, a seriousness test is conducted with the necessary committees. All serious problems are dealt with promptly and resolved as soon as possible. All employees are informed about the results. Anyone who states that they have been subjected to any harassment-violence or harsh-inhuman treatment by either their colleagues or managers is immediately taken into protection.

3.Discrimination

Karin Gıda is against discrimination as a policy. Discrimination is the prejudiced treatment of a person or group due to certain characteristics. This behavior can be positive or negative. Unfair situations where people are not treated equally due to their actual or attributed characteristics without any valid reason are not allowed. No discrimination is made in terms of age, religion, language, race, ethnic group, gender, national origin, or political view. The principle of equality is fundamental in all our processes.

4.Honesty

The principle of honesty is fundamental in all external and internal relationships and processes.

5.Confidentiality

The employee must keep the information and secrets he/she learns about his/her job and the Company, whether or not they are related to the task he/she performs. He/she cannot give or disclose the secrets,

information  or  documents  related  to  them  to  unauthorized  persons  or  authorities.  This  obligation continues even after the termination of his/her relationship with the Company.

6.Our Responsibilities

The  Company takes  utmost  care to  fulfill the  responsibilities  listed below  towards  its  customers, employees, shareholders, suppliers and business partners, competitors, the environment and society.

6.1.Responsibility to Comply with Laws and Legislation

The Company acts in accordance with the laws and legislation of the countries in which it operates, both domestically and abroad, in all its activities. Information, documents and records related to these activities are kept and preserved regularly and completely. All reports, presentations, financial statements and footnotes to be disclosed to the public and submitted to the competent authorities by the Company are prepared accurately and transparently, with utmost care, in accordance with the laws, legislation and internal company regulations. Our Company complies with the legal requirements stated below:

6.2.Responsibility for Care in Duty

The employee is obliged to perform the tasks undertaken by the employment contract with care. He/she is obliged to take the initiative to gain/develop the competencies required by his/her job and to obtain the necessary information. He/she is responsible for the damages he/she causes to the Company as a result of intent, negligence and carelessness. The employee is responsible for distributing the tasks given to him/her to his/her subordinates as required and completing them on time, and for the instructions given by his/her superior to be carried out in the best way. Every employee is responsible for protecting the reputation of the Company against third parties, with the awareness that he/she represents the Company. He/she is obliged to stay away from behaviors and actions that will put the Company in a difficult situation. Every employee is obliged to manage his/her relations with other employees, business partners and stakeholders in accordance with business ethics and ethical rules. No employee may benefit from third parties or institutions in connection with their work, enter into a private business relationship, or request or make payments. 6.3.Responsibility to the Environment and Society

The Company acts with social benefit and environmental awareness while carrying out its activities, and aims to apply high standards in terms of environmental awareness. Environmental rule violations that may harm the health and rights of employees, customers and those living in the region where it operates are avoided. In all business areas where it operates, actions are taken to minimize the negative effects of its work on the environment and measures are taken to prevent environmental pollution. The consumption of natural resources is kept at a minimum. Within the framework of its responsibilities to society, support is given to activities aimed at education and charity, studies aimed at increasing environmental and social awareness, activities for the benefit of the public, and cultural and social responsibility projects. The Company acts sensitively to the traditions and cultures of the countries where it operates abroad, adapts to the social structure and avoids elements that may have a negative impact on the social environment. It takes all precautions to protect the natural environment as well as archaeological, historical, architectural and cultural artifacts in its activities.

6.4.Responsibility to Shareholders

The aim is to increase the company value in company activities. Care is taken to establish an optimum balance between profitability and risk management. Company activities are carried out within the framework of transparency, accountability, sustainability and honesty principles, and by taking these issues into consideration, the responsibility to inform partners within the framework of laws and legislation is fulfilled. Company resources are used efficiently and effectively, waste is avoided. The balance between short-term goals and long-term success is observed.

6.5.Responsibility to Comply with Workplace Principles and Rules (Discipline)

The employee is obliged to comply with the rules set by the workplace regarding management, compliance, discipline, occupational health and safety, and the instructions, regulations and procedures published in relation to these. No deductions are made from wages as a disciplinary penalty. Internal training programs are developed to ensure the acquisition of the necessary behavior and the importance of mistakes and minor negligences is emphasized.

6.6.Responsibility to Show Care in Behavior and Relationships (Discipline)

Employees must work in harmony with their colleagues and managers at the workplace, establish good and humane relationships with private or official persons and organizations that have relations with the workplace, and perform their jobs honestly and promptly. Employees are obliged to report those who act contrary to the principles of business ethics to the Management with their documents. Since employees represent the company outside the workplace during working hours, they must take care of their clothing and cleanliness.

6.7.Responsibility to Look After Company Interests

Employees are obliged to protect the work carried out by the Company and the interests related to the workplace and to avoid any behavior that will harm these interests. Employees cannot use Company opportunities for their personal interests.

6.8.Responsibility to Our Competitors

The Company acts meticulously in the development of the sectors in which it operates, in the observation of common interests together with all companies operating in the sector, and in the continuity of trust in the sector. It avoids unfair competition against competitors, and acts within the framework of ethical rules by observing fair competition conditions.

6.9.Responsibility to Report Personal Information and Changes

Employees are obliged to report and submit to the Human Resources Department on time any changes in their family, marital and address status, and the documents that are the basis for personal, family or relatives information and the rights and obligations regulated in contracts and/or regulations.

7.Prohibition on Working in Another Job

Employees cannot accept an official or private, permanent or temporary, paid or unpaid position without permission from the company, and cannot engage in trade.

8.Customer Focus

Our organization always attaches importance to customer-focused work in order to ensure continuous customer satisfaction and continues its work in this direction. Customers are viewed as the reason for our organization to live, and it is accepted that every criticism ensures the development of our organization and is a light in reaching the goals. Therefore, any negative or positive criticism from the customer is taken into consideration and evaluated with importance. In addition, it creates feedback to increase satisfaction in order to fully meet the expectations of the customer.

Efforts are made to raise customer-focused awareness in employees. Information is provided about the quality of the product requested by the customer and employees are informed about what the customer expects.

9.Conflict of Interest Situations

It is essential that the employee prioritizes the interests of the Company in all work-related activities. The following situations are considered to be situations that create a conflict of interest:

  • The employee’s family or persons with up to third-degree relatives having commercial relations with the Company,
  • The employee’s family or persons with up to third-degree relatives having property and interest relations in competing companies,
  • The employee’s family or persons with up to third-degree relatives giving work to companies they work for,
  • The employee borrowing from companies they do business with or having commercial relations

9.1.Conflict of Interest

Situations where individual interests may conflict with the interests of the company or related persons and the company are observed and prevented. While performing their duties, company employees prioritize the interests of the institution above all else and avoid any actions and behaviors that may mean using the company’s resources or reputation to gain personal or personal benefits. Company employees take utmost care not to misuse the company’s resources and to protect the company’s name and reputation.

9.2.Conflict of Interest Situations

Foreseeable potential conflict of interest situations and situations defined by the organization’s management are shared with employees and the Company management takes the necessary precautions. Company managers and employees are obliged to report any conflict of interest situations they observe to the management. After such a situation occurs, the Board of Directors evaluates the issue and takes the necessary action.

10.Responsibility to Show Care in Behavior and Relationships

Employees are required to work in harmony with their colleagues and managers at the workplace, establish good and humane relationships with private or official persons and organizations that have a relationship with the workplace, and perform their jobs honestly and promptly. Employees are obliged to report those who act contrary to the principles of business ethics to the Management, along with their documents. Every employee, with the awareness that they are a member of Karin Gıda Sanayi ve Ticaret Anonim Şirketi; should be exemplary with their behavior in environments outside of work, especially during working hours, and should be careful about their human relationships.
